BUSINESS PROFILE

AmeriStop Food Mart stores are independently owned grocery stores dispensing to the public a large selection of food products, including groceries, bakery and dairy products, frozen foods, snacks, take-out foods, such as coffee, sandwiches and soft serve desserts, health and beauty aids, and packaged beer and wine for home consumption. Some stores also feature a service delicatessen department and some offer self serve gas.

AmeriStop Food Mart stores strive to offer the consumer the "best of two worlds" - the convenient location, parking at the door, and quick service usually associated with convenience stores, plus the greater variety and better value associated with a somewhat larger store. The typical new AmeriStop Food Mart store is 3,250 square feet, compared to 2,400 square feet or less for most convenience stores. The typical AmeriStop Food Mart store today stocks and sells approximately 5,000 items.

The stores are locally owned and operated under a franchise agreement with Ohio Valley AFM, Inc., Cold Spring, Kentucky, the national franchiser of AmeriStop Food Marts.

COMPANY HISTORY
The franchiser company Ohio Valley AFM. Inc. was founded in 1965 by John G. Hancock, a successful supermarket operator, who visualized the potential of the emerging convenience store industry at a time when it consisted of fewer than 5,000 stores. He opened his first store in Cincinnati on October 10, 1967 and within two years had five stores in Cincinnati and Northern Kentucky. His attention to every detail, site selection, franchisee selection, store cleanliness, merchandising, advertising and promotion resulted in successful stores almost from the beginning. Always the innovator, Mr. Hancock enlarged his stores from the original 3,000 square feet to 3,250 square feet, to provide more space for complete merchandising, and added new profitable product lines and customer services.
